Welcome to the International Communications Group, Inc. (“ICG”) website. ICG provides this website and its features to you subject to the following conditions. By accessing, browsing, and using the ICG site or ICG Database (as defined below), you acknowledge having read, understood and hereby agree to be bound by these Conditions of Use, as modified or amended from time to time and each time you access the ICG site or ICG Database. If you visit the ICG website or access any information from an ICG Database (as defined below) you accept these conditions. Please read them carefully. As used in these Conditions of Use, an “ICG Database” means all information accessible from the ICG site, which may include, but is not limited to, data structures, technical and other specifications, pricing, advice, and other data and information. All data and other information available on the ICG Database(s) may be proprietary, confidential and the sole property of ICG or third parties licensing such information to ICG.

SECURITY AND ACCESS
ICG takes reasonable precautions in order to prevent unauthorized use or tampering with any customer information. In order to gain access to certain applications through the ICG site, a user will need to complete and submit a Registration Application. The Application should be completed and submitted in accordance with instructions that are included or linked to the Application. Once ICG has received a completed Registration Application, and verified the accuracy of its contents, we will send you confirmation of our acceptance of your enrollment, along with your assigned login ID and temporary password. You must have a valid user ID and password to access the ICG site’s secure areas. For security purposes it is recommended that you change your password upon your initial login to the system. You determine what password you will use and the identity of your password is not communicated to us. Upon repeated consecutive unsuccessful attempts to use your password, your access to the system may be revoked. To re-establish your authorization to use the system, you must contact us to have your password reset or to obtain a new temporary password. You accept all responsibility for the security of your user ID and password, and utilization of the ICG site via such user ID and password. This includes unauthorized access by you or third parties, except for access by third parties resulting from ICG’s gross negligence. Notify ICG immediately if you wish to terminate your user ID and password or have these access codes reissued. Do not disclose your access codes to anyone not authorized to act on your behalf. In the event of theft or loss of a password or User ID, you shall immediately notify ICG. If you use the ICG site, you are responsible for maintaining the confidentiality of your user ID and password and for restricting access to your computer, and you agree to accept responsibility for all activities that occur under your user ID and password. If you are under 18, you may use the ICG site only with involvement of a parent or guardian. ICG reserves the right to refuse service, terminate accounts, remove or edit content, or cancel orders in their sole discretion.

ELECTRONIC COMMUNICATIONS
When you visit the ICG website, send e-mails to us or use the blog function available on the ICG website, you are communicating with us electronically. You consent to receive communications from us electronically. We will communicate with you by e-mail or by posting notices on this site. You agree that all agreements, notices, disclosures and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

This means that the risk of loss and title for such items pass to you as defined in the Purchase Agreement.

PRODUCT DESCRIPTIONS
ICG attempts to be as accurate as possible. However, ICG does not warrant that product descriptions or other content of this site is accurate, complete, reliable, current, or error-free. If a product offered by ICG itself is not as described, your remedies are as specified in the Purchase Agreement.

PRICING
Except where noted otherwise, the price displayed for products on our website represents the full retail price listed on the product itself, suggested by the manufacturer or supplier, or estimated in accordance with standard industry practice; or the estimated retail value for a comparably featured item offered elsewhere. The price is a comparative price estimate and may or may not represent the prevailing price in every area on any particular day. With respect to items sold by ICG, we cannot confirm the price of an item until you order. Despite our best efforts, a small number of the items in our catalog may be mispriced. If an item’s correct price is higher than our stated price, we will, at our discretion, either contact you for instructions before shipping or cancel your order and notify you of such cancellation. Please note that this policy applies only to products sold and shipped by ICG.

EXPORT CONTROLS
U.S. export control laws regulate the export and re-export of controlled technology originating in the United States. This includes the electronic transmission of information and software to foreign countries and to certain foreign nationals. APPLICABLE LAW
By visiting the ICG site, you agree that the laws of the Commonwealth of Virginia, without regard to principles of conflict of laws, will govern these Conditions of Use and any dispute of any sort that might arise between you and ICG. ICG specifically disclaims the applicability of the United Nations Convention on Contracts for the International Sale of Goods and it shall not be construed as applying to any conduct or transaction performed as a result of accessing information through the ICG site or an ICG Database.

DISPUTES
Any dispute relating in any way to your visit to the ICG site shall be adjudicated in any state or federal court in Newport News, Virginia, and you consent to exclusive jurisdiction and venue in such courts.

SITE POLICIES, MODIFICATION, AND SEVERABILITY
ICG may terminate or suspend your access to all or part of the ICG site or any ICG Database without notice, for any conduct that ICG, in its sole discretion, believes is in violation of any applicable law or is harmful to the interests of another user of the ICG Site or ICG Database or ICG. Upon termination for whatever reason, your right to use or possess any information obtained from the ICG site or ICG Database will immediately terminate and you will promptly destroy all copies, electronic or otherwise, that you have in your possession by operation of these Conditions of Use. We reserve the right to make changes to our site, policies, and these Conditions of Use at any time. Continued access to the ICG site or ICG Database after such changes will constitute acceptance of all such modifications or amendments.
